01 Acceptance of Terms
By accessing this website or engaging BLACKSITE DIGITAL ("we," "us," "our") for services, you agree to be bound by these Terms of Service. If you do not agree, please do not use this website or our services.
02 Description of Services
We provide web design, development, and search engine optimization (SEO) services, including but not limited to custom website builds, local SEO campaigns, technical audits, and related digital marketing support. Specific deliverables, timelines, and scope for any engagement are defined in a separate signed proposal or agreement, which takes precedence over this general description.
03 Payment Terms
Projects are billed according to the schedule outlined in your signed proposal — typically a deposit, one or more milestone payments, and a final payment at launch. We accept ACH, credit card, and Solana cryptocurrency payments; details are available on our Payments page.
Invoices are due on the terms stated on the invoice itself. Late payments may result in paused work until the account is brought current.
04 Refunds & Cancellations
Deposits secure your project slot and cover initial discovery and planning work; deposits are generally non-refundable once work has begun. Refunds for milestone payments are evaluated based on the amount of completed work at the time of cancellation. Cryptocurrency payments are final once confirmed on-chain and cannot be reversed.
Specific refund terms for your project will be outlined in your signed proposal, which governs in the event of any conflict with this general policy.
05 Intellectual Property
Upon full and final payment, ownership of the final website design and custom code developed specifically for your project transfers to you, except for:
- Any third-party themes, plugins, libraries, stock assets, or licensed tools used in the build, which remain subject to their own licenses
- Our own pre-existing tools, frameworks, or methods used to deliver the work, which we retain the right to reuse
Until full payment is received, all work product remains the property of BLACKSITE DIGITAL.
06 Client Responsibilities
You are responsible for providing timely feedback, content, access credentials, and approvals needed to keep your project on schedule. Delays caused by missing materials or feedback may extend project timelines accordingly.
07 Third-Party Services & Tools
Our services may rely on third-party platforms (such as hosting providers, form-processing services, analytics tools, or payment processors). We are not responsible for outages, policy changes, or data handling practices of third-party services outside our direct control.
08 Limitation of Liability
To the fullest extent permitted by law, BLACKSITE DIGITAL will not be liable for indirect, incidental, or consequential damages arising from your use of our website or services, including but not limited to lost profits, lost data, or business interruption. Our total liability for any claim related to a project is limited to the amount you paid us for that project.
09 No Guarantee of Rankings or Results
SEO and search visibility are influenced by many factors outside our control, including changes made by search engines. While we work to improve your site's performance and search visibility, we do not guarantee specific rankings, traffic levels, or business outcomes.
10 Termination
Either party may terminate an active engagement with written notice as outlined in the signed proposal. Upon termination, you are responsible for payment for all work completed up to the termination date.
11 Governing Law
These Terms are governed by the laws of the State of California, without regard to its conflict-of-law principles. Any disputes arising from these Terms or our services will be resolved in the state or federal courts located in Santa Clara County, California.
12 Changes to These Terms
We may update these Terms from time to time. The "Last updated" date reflects the most recent revision. Continued use of our website or services after changes are posted constitutes acceptance of the updated Terms.
